Africa’s Second-Richest Billionaire Johann Rupert Takes Full Control of Mediclinic in $947 Million Deal

Africa’s second-richest billionaire, Johann Rupert, has tightened his grip on Southern Africa’s private healthcare industry after investment holding company Remgro completed a R15.56 billion ($947 million) acquisition to take full ownership of Mediclinic Southern Africa, marking one of the region’s biggest healthcare transactions in recent years.

The deal, finalised on July 1 after securing all required regulatory approvals, ends a long-standing joint ownership arrangement between Remgro and Luxembourg-based Investment Holding Limited (IHL), which had each held a 50% stake in Mediclinic Holdings.

Under the restructuring, Remgro assumes complete ownership of Mediclinic’s Southern African operations through Mediclinic International, while IHL takes full control of the group’s Swiss healthcare business, Hirslanden.

The separation allows both shareholders to pursue independent growth strategies tailored to their respective markets, removing the complexities associated with joint ownership and governance.

Remgro paid $947 million for the Southern African assets, slightly below the $950 million purchase price announced in December 2025 after adjustments for agreed leakages and accruals.

In a parallel transaction, IHL acquired the Swiss operations for $1.08 billion (R17.74 billion).

The acquisition received final approval from South Africa’s Competition Tribunal in June, subject to employment-related conditions, clearing the last regulatory hurdle before completion.

Mediclinic Southern Africa operates one of the continent’s largest private healthcare networks, comprising approximately 50 private hospitals, day clinics, sub-acute facilities, mental health centres, the Intercare primary healthcare business and emergency medical services provider ER24 across South Africa, Namibia and Mauritius.

The acquisition further strengthens Rupert’s position in Africa’s fast-growing private healthcare market, where rising incomes, expanding medical insurance coverage and increasing demand for specialised healthcare services continue to drive investment despite mounting pressure on public health systems.

According to industry estimates, Africa accounts for nearly 17% of the world’s population but carries around 25% of the global disease burden, highlighting the growing need for investment in healthcare infrastructure.

South Africa’s private healthcare sector, although serving a minority of the population, remains one of the continent’s most developed and capital-intensive healthcare markets.

The transaction also comes as South Africa continues debating reforms to its healthcare system, including the proposed National Health Insurance (NHI) programme, which aims to expand universal healthcare coverage while reshaping the role of private healthcare providers.

For Remgro, the acquisition consolidates a strategic asset that has long been central to its diversified investment portfolio, giving the company greater flexibility to invest, expand and respond to changing market dynamics without the constraints of a shared ownership structure.

The deal reinforces Rupert’s growing influence in one of Africa’s most resilient industries, positioning Mediclinic Southern Africa for its next phase of growth as demand for high-quality private healthcare continues to rise across the region.
